Which ROC handles a Delhi company?
The Registrar of Companies, NCT of Delhi & Haryana (Nehru Place, New Delhi). Incorporation is filed centrally on MCA's SPICe+, but this ROC hears later filings, inspections and show-cause matters for Delhi companies.
What is different about registering in Delhi versus Noida or Gurugram?
Three things: Delhi stamp duty on MOA/AOA; Delhi's Shop & Establishment registration still applies at any headcount (the 2026 amendment raising it to 20 employees has been published but not yet brought into force), unlike UP and Haryana; and the trade/health trade licence comes from MCD or NDMC depending on the premises. No Professional Tax in Delhi.
Do I need a commercial address in Delhi to register?
You need a registered office with proof (ownership or NOC-plus-rent-agreement and a utility bill). A residential address is permitted for the registered office; a commercial activity at it may need MCD permission depending on the use — we check before you commit to the address.
How long does it take?
Name approval and SPICe+ filing are portal-driven; complete, correctly-documented applications are typically approved within MCA's standard window (around 7 working days as per portal SLA). Delays come from name conflicts, document defects or DSC problems.
What comes with incorporation?
Certificate of Incorporation with CIN, PAN, TAN, EPFO and ESIC registrations and a bank-account request through the single SPICe+/AGILE-PRO filing; GST optionally in the same filing.
What compliance follows?
INC-20A within 180 days, ADT-1, annual AOC-4 and MGT-7/7A, and DIR-3 KYC for each director — now once in three years from 31 March 2026. Under the revised small-company limits (₹10 crore capital / ₹100 crore turnover) most new companies get the lighter tier.
